Terms of Service.

1.0 Acceptance of Agreement

By accessing this website or commissioning software services from MettaByte (Pvt) Ltd, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company, you represent that you have the legal authority to bind that entity.

2.0 Studio Services & Projects

MettaByte provides highly specialized software engineering and AI integration services. Each project is specifically defined by a Statement of Work (SOW) or a Project Proposal which outlines:

• Scope of Work: The exact technical features to be built.
• Estimated Timelines: (e.g., our standard 3-week sprint cycle).
• Technical Requirements: The stack (Next.js, FastAPI, etc.) and deployment environment.

3.0 Intellectual Property (The MettaByte Transfer)

We believe in full transparency regarding software ownership. Our standard operating IP policy is as follows:

• Full Ownership Transfer: Once the project fee is paid in full, all intellectual property rights for the custom source code and assets created specifically for your project transfer to you.
• Background Studio IP: MettaByte retains ownership of its internal utility libraries and boilerplate scripts used to accelerate development. Clients are granted a non-exclusive, perpetual, royalty-free license to use these embedded tools as part of the project.

4.0 Payment Terms & Fixed-Pricing

We operate primarily on a Fixed-Price Architecture to give founders cost certainty.

• Milestones: Invoices are usually triggered by clear engineering milestones (Deposit, Mid-Point, Final Launch).
• Scope Creep: Any modifications to the project scope after the SOW is signed will be handled through a Scope Addendum and may incur additional fixed-price costs.
• Late Payments: We reserve the right to halt engineering work if payments are delayed beyond the agreed grace period defined in your SOW.

5.0 Limitation of Liability

MettaByte provides high-performance engineering but operates in an inherently complex environment. Our total aggregate liability to you for any claim arising out of these terms shall not exceed the total amount paid by you to MettaByte for the project in question.

We are not responsible for downtimes or errors caused by third-party platforms such as Vercel, AWS, or AI model providers (OpenAI, Anthropic).

6.0 Law & Jurisdiction

This agreement and any dispute arising from it shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. You agree to the exclusive jurisdiction of the courts located in Colombo for any legal proceedings.
